Confidentiality Agreement

1. Purpose and Scope

This Confidentiality Agreement ("Agreement") outlines the terms under which 2nd Nature, Inc. ("2nd Nature," "we," "us," or "our") and visitors, potential partners, or clients ("you" or "your") handle confidential and proprietary information exchanged through our website located at 2ndnature.bio (the "Website") or during preliminary business discussions.

As an AI-powered ingredient discovery and scaling company, 2nd Nature utilizes the proprietary AgWaste Portal™ to discover high-performance natural ingredients. The protection of intellectual property, trade secrets, and proprietary data is critical to our business and the businesses of our partners.

2. Definition of Confidential Information

"Confidential Information" refers to any non-public, proprietary, or sensitive information disclosed by either party (the "Disclosing Party") to the other party (the "Receiving Party"), whether orally, in writing, or through electronic means. This includes, but is not limited to:

  • Technical Information: Details regarding the AgWaste Portal™, AI algorithms, ingredient formulations, extraction processes, scientific data, and patent-pending technologies.
  • Business Information: Business plans, financial data, marketing strategies, customer lists, supplier information, and pricing models.
  • Partnership Details: Information regarding potential collaborations, joint ventures, or commercial agreements discussed between the parties.

Confidential Information does not include information that:

  • Is or becomes publicly known through no fault of the Receiving Party.
  • Was rightfully known by the Receiving Party prior to disclosure.
  • Is independently developed by the Receiving Party without reliance on the Disclosing Party's Confidential Information.
  • Is rightfully obtained from a third party without a duty of confidentiality.

3. Obligations of the Receiving Party

The Receiving Party agrees to:

  • Maintain Secrecy: Hold the Confidential Information in strict confidence and take all reasonable precautions to protect it from unauthorized disclosure or use.
  • Limited Use: Use the Confidential Information solely for the purpose of evaluating a potential business relationship or partnership with the Disclosing Party.
  • Restricted Disclosure: Not disclose the Confidential Information to any third party without the prior written consent of the Disclosing Party, except to employees, agents, or advisors who have a "need to know" and are bound by confidentiality obligations at least as restrictive as those in this Agreement.

4. Website Submissions

While our Website serves primarily as a marketing tool, any information you submit through our "Contact Us" forms or other communication channels will be treated with care. However, we strongly advise against submitting highly sensitive or proprietary trade secrets through general website forms before a formal, mutual Non-Disclosure Agreement (NDA) is executed.

5. Return or Destruction of Materials

Upon the written request of the Disclosing Party, or upon the termination of business discussions, the Receiving Party shall promptly return or destroy all materials containing Confidential Information, including all copies, notes, or extracts thereof, and certify in writing that such action has been taken.

6. No License Granted

Nothing in this Agreement shall be construed as granting any rights, by license or otherwise, to any Confidential Information, patents, copyrights, trademarks, or trade secrets of the Disclosing Party.

7. Term

The obligations of confidentiality under this Agreement shall remain in effect for a period of five (5) years from the date of disclosure, unless superseded by a subsequent formal Non-Disclosure Agreement between the parties.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
